A worked case
Someone buys a bitcoin fund so they do not have to hold keys. The broker halts trading for a day. They cannot move the coins at midnight because they do not hold the coins. That may be what they wanted. It is still a firm.
Who holds it
The fund holds the coins, or a custodian does, inside a legal wrapper. You hold a share in a brokerage account. The broker can close, the market can halt, and the fee is annual.
What you gave up
You cannot move those coins at midnight to a wallet you control. That may be what you wanted. Say so honestly.

GBTC, and the funds that came after
For years the main way for a US brokerage account to hold bitcoin exposure was the Grayscale Bitcoin Trust. The trust held coins. The shares often traded at a large discount or premium to those coins, because you could not freely redeem. You did not hold keys. You held a product with its own price, its own fee, and a gate. In January 2024 US regulators allowed spot bitcoin exchange-traded funds to list. Those are still brokerage products. They can be cheaper and easier to redeem than the old trust. They are still not a wallet. The broker can halt. The fund can close. You cannot move the coins at midnight.
That may be what you wanted. Say so honestly. A wrapper is not a scam by being a wrapper. It is a firm. The annual fee is the firm's pay. The halt is the firm's power. People who bought the trust at a premium and sold at a discount learned that the wrapper has a price of its own, separate from the coins inside.
